A carefully drafted employment agreement sets out the expectations of both employer and employee, and can reduce the scope for later disagreement.
Ontario courts examine employment agreements closely, particularly where terms lack specificity or attempt to contract below the statutory minimums set by the Employment Standards Act. Understanding the components of a compliant agreement is useful for employers of any size.
Clarity Matters
Clear drafting is particularly important in employment agreements because ambiguity can create disputes and may affect enforceability. Terms should reflect the role, the workplace and current Ontario law.
Key Clauses to Review
An employment agreement should address the terms that matter to the particular employment relationship. Common areas for review include:
- Termination ProvisionsClauses intended to limit common-law termination entitlements must comply with the Employment Standards Act, 2000 and current case law. Defects in a termination provision can affect its enforceability.
- Non-Competition and Non-SolicitationOntario's Employment Standards Act, 2000 generally prohibits employers from entering into non-compete agreements with employees on or after October 25, 2021, subject to limited statutory exceptions, including certain executives and qualifying sales of a business. The ESA does not prohibit non-solicitation or non-disclosure agreements, although their enforceability depends on their wording, scope and applicable law.
- Confidentiality and Intellectual PropertyWhere relevant, the agreement can address confidential information, work product and intellectual-property obligations during and after employment.
Timing and Consideration
Timing and consideration also matter. Where the employment itself is intended to be the consideration for the agreement, the agreement should generally be finalized before the employee begins work. Changes after employment has started may require fresh consideration. The analysis is fact-specific.
Review Employment Agreements Regularly
Legislation and case law change over time, so employment agreements benefit from periodic review.
